1. INTRODUCTION

Welcome and thank you for using the SPAR Supplier Development (“Website”) of The SPAR Group Limited (“SPAR”). This Website is owned and operated by SPAR whose registered office is situated at 22 Chancery Lane, Pinetown, 3610, KwaZulu-Natal, Republic of South Africa.

This Website is hosted and managed in the Republic of South Africa for the exclusive use of members of The SPAR Guild of Southern Africa, NPC.

The purpose of the Website is to provide support to suppliers in obtaining food safety solutions that align with SPAR’s food safety compliance and to provide a platform for SPAR retailers to connect with qualifying suppliers registered on the SPAR Supplier Development Programme (“programme”) and to view their food safety compliance.

2. TERMS OF USE

2.1 The use and access to this Website by any person (“the user”) is subject to the terms and conditions set out hereunder (“Terms”). These Terms are enforceable and binding upon the user to the extent permitted by the Electronic Communications and Transactions Act 25 of 2002.

If the user does not accept these Terms, they must exit the Website as continued use will be considered as consent to be bound by these Terms.

2.2 These Terms of use may change periodically without prior notice. The user’s continued use of the Website following the posting of changes or updates will be considered notice of acceptance. These Terms were last revised in February 2026.

2.3 SPAR’s privacy policy, cookies policy and PAIA manual apply to this Website and can be found at https://sparsupplierdevelopment.co.za.

3. REGISTRATION

3.1 Registration to the programme is restricted to food suppliers who must meet the following qualifying criteria:

SPAR’s chosen qualifying sections of the Schedule to the National Small Enterprise Act 102 of 1996

Sector Size or class of enterprise Total full-time equivalent of paid employees Total annual turnover
Agriculture Small 11 – 50 17 million or less
Agriculture Micro 0 – 10 7 million or less
Manufacturing Small 11 – 50 50 million or less
Manufacturing Micro 0 – 10 10 million or less

3.2 Suppliers eligible to register must complete the registration process and meet the registration verification criteria. Meeting the above criteria does not guarantee acceptance into the programme.

3.3 Users must select their own login username and password and are solely responsible for keeping such login credentials confidential. SPAR will not be liable for any loss or damage resulting from compromised credentials.

3.4 By registering, the user warrants that they are 18 years or older and have full legal capacity to enter into these Terms.

3.5 Registration does not guarantee acceptance onto the programme or listing with any SPAR Distribution Centre or SPAR Retailer.

3.6 SPAR provides guidance only and does not offer financial support. Participation does not guarantee supply to SPAR.

3.7 SPAR may remove a supplier from the programme for inactivity or breach of these Terms.

3.8 SPAR will not be liable for any payment due by a retailer to a registered supplier.

4. BREACH, SUSPENSION AND TERMINATION

  • Suspend or terminate access to the Website
  • Remove uploaded content
  • Cancel these Terms

SPAR may pursue any remedy available at law, including damages and specific performance.

5. SUPPLIER PROFILE AND SITE CONTENT

Suppliers may upload legitimate, authentic and accurate content. SPAR may remove any content deemed unlawful, inaccurate, defamatory or in breach of data protection laws.

6. ACCEPTABLE USE AND RESTRICTIONS

  • No unauthorised copying, reproduction or distribution
  • No reverse engineering or source code extraction
  • No unlawful, misleading or abusive use
  • No unauthorised third-party access

7. INTELLECTUAL PROPERTY

All Website content and trademarks are owned by SPAR and protected by applicable law. Any use beyond personal viewing is prohibited.

8. ADVERTISING AND LINKS

External links and advertisements do not constitute endorsement by SPAR. Use is at the user’s own risk.

9. PROTECTION OF PERSONAL INFORMATION

Users must comply with the Protection of Personal Information Act 4 of 2013 (POPIA). Failure may result in deregistration or content removal.

10. CONFIDENTIALITY

All non-public information obtained via the Website must be treated as strictly confidential.

11. SECURITY

SPAR makes no warranty that the Website is secure or free from harmful code. Users introducing damaging code indemnify SPAR.

12. ADVICE

All information provided is general guidance only and not a substitute for independent professional advice.

13. ELECTRONIC COMMUNICATIONS AND TRANSMISSION RISK

Electronic communications are inherently insecure. Users assume all associated risks.

14. EXCLUSION OF LIABILITY AND INDEMNITY

Use of the Website is entirely at the user’s own risk. SPAR disclaims all liability to the fullest extent permitted by law.

15. RELIANCE AND VERIFICATION OF INFORMATION

SPAR does not verify information uploaded by suppliers. Users must conduct independent verification.

16. GENERAL TERMS

These Terms constitute the entire agreement between the user and SPAR. Any invalid provision shall be severable.
